These Terms of Service (“Terms”) govern your access to and use of the Q&A IT website at qandait.com and any services, products, or applications we provide. By using our website or services, you agree to these Terms. If you do not agree, please do not use our services.

1. About Q&A IT

Q&A IT is a digital agency based in Dhaka, Bangladesh, established in April 2014. We provide web development, app development, game development, project management, digital marketing, content writing, and related IT services. We also develop and publish our own software products and applications.

2. Acceptance of Terms

By accessing or using our website, hiring our services, or using any of our products, you confirm that you:

• Are at least 18 years of age, or have the consent of a parent or legal guardian
• Have the legal capacity to enter into a binding agreement
• Will use our services in compliance with these Terms and all applicable laws

3. Services We Provide

3.1 Agency Services

We offer custom services including but not limited to:

• Game development

• Digital marketing and SEO
• Content writing and translation
• Virtual assistance and data research
• Graphic design and logo creation

Agency service engagements are governed by individual project agreements, quotes, or statements of work, which together with these Terms form the complete agreement between us.

3.2 Products and Applications

We also develop and publish software products and applications. Each product may have its own separate Terms of Service, License Agreement, and Privacy Policy, which apply alongside these Terms.

4. Quotes, Pricing, and Payment

4.1 Quotes

Quotes provided by Q&A IT are valid for 30 days unless otherwise stated. Quotes are estimates based on project scope as described at the time of quoting; changes in scope may require revised quotes.

4.2 Payment Terms

Unless otherwise agreed in writing:

• Agency projects typically require an upfront deposit (commonly 50%) before work commences
• Final payment is due upon project completion or as specified in the project agreement
• We accept payments via Upwork, Payoneer, Wise, bKash, and other agreed methods
• All prices are in US Dollars unless otherwise specified

4.3 Late Payments

Invoices not paid within the agreed terms may incur late fees and may result in suspension of services or delivery delays.

4.4 Refunds

We provide a satisfaction commitment on our agency services. Refund eligibility depends on the nature of the engagement and is determined on a case-by-case basis. Specific products and applications have their own refund policies.

5. Intellectual Property

5.1 Q&A IT Content

All content on our website (including text, images, logos, designs, code, and trademarks) is owned by Q&A IT or our licensors and protected by intellectual property laws. You may not copy, modify, distribute, or use our content without our written permission.

5.2 Client Work

Upon full payment for agency services, the rights to deliverables transfer to the client as specified in the project agreement, except for:

• Pre-existing intellectual property owned by Q&A IT
• Third-party components, frameworks, or libraries used in the work
• Our internal tools, methodologies, and processes

We retain the right to display completed work in our portfolio for marketing purposes unless otherwise agreed.

5.3 Your Content

You retain ownership of any content you provide to us. By providing content, you grant us a license to use it for the purpose of delivering the services you have hired us for.

6. Acceptable Use

You agree not to:

• Use our services for any unlawful purpose
• Attempt to gain unauthorized access to our systems
• Interfere with the operation of our website or services
• Use our services to send spam, malware, or harmful content
• Reverse engineer, decompile, or copy our products
• Resell our services or products without written authorization
• Impersonate another person or entity
• Violate the rights of others, including intellectual property, privacy, or contractual rights

We reserve the right to suspend or terminate access for violations of this section.

7. Disclaimers

7.1 No Warranty

Our website and services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

7.2 Third-Party Services

We may recommend or integrate with third-party services. We are not responsible for the content, accuracy, or practices of any third party.

7.3 Results

We do not guarantee specific business outcomes, search engine rankings, sales results, or other measurable outcomes from our services, as these depend on many factors beyond our control.

8. Limitation of Liability

To the maximum extent permitted by law, Q&A IT shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, even if we have been advised of the possibility of such damages.

Our total liability for any claim arising from or related to our services shall not exceed the amount you paid to us in the 12 months preceding the claim.

This limitation does not apply where prohibited by law, such as liability for gross negligence, willful misconduct, or fraud.

9. Indemnification

You agree to indemnify and hold harmless Q&A IT, its officers, employees, and contractors from any claims, damages, losses, or expenses (including legal fees) arising from your use of our services, your violation of these Terms, or your violation of any rights of a third party.

10. Termination

10.1 Termination by You

You may stop using our website at any time. For ongoing service engagements, termination terms are specified in your project agreement.

10.2 Termination by Us

We may terminate or suspend your access immediately, without prior notice, if you breach these Terms, engage in fraud or unlawful conduct, or if we reasonably determine that continuing to serve you poses a risk to us or other users.

10.3 Effects of Termination

Provisions of these Terms that by their nature should survive termination (such as intellectual property, indemnification, and limitation of liability) shall survive.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of Bangladesh, without regard to conflict of laws principles. Any dispute arising from these Terms or our services shall be resolved exclusively in the courts of Dhaka, Bangladesh.

Before commencing any formal legal action, the parties agree to attempt good-faith resolution through direct communication for at least 30 days.

12. Changes to These Terms

We may update these Terms from time to time. The “Last Updated” date at the top of this page indicates when changes were made. Significant changes will be announced on our website. Your continued use of our services after any change constitutes acceptance of the updated Terms.

13. Entire Agreement

These Terms, together with our Privacy Policy and any product-specific terms or project agreements, constitute the complete agreement between you and Q&A IT regarding your use of our services, superseding any prior agreements.

14. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
